IAPPA invites you to access our websites and use our Service, but please note that your invitation is subject to your agreement with these Terms. This document describes in detail your rights and our rights relating to the provision of the Services, so please review these Terms carefully. By using our Service and agreeing to these terms and conditions, you consent to our use of cookies according to our privacy policy. Suppose you are using our Services on behalf of a company or organisation. In that case, you agree to these Terms on behalf of the company or organisation and represent that you have the authority to do so. In such a scenario, the words "you" and "your" when used in these Terms will apply to your organisation, its affiliates, and you as an individual as appropriate.
This is an agreement between you and the Invoice Access Point Provider Association (IAPPA). Before using our services, please read these IAPPA Terms of Use and the other applicable rules, policies, and terms posted on our website or available through your App. By using IAPPA, you agree to the terms of this Agreement on behalf of yourself and all other persons who use IAPPA under your account. If you do not agree to these Terms, you do not have the right to access or use the IAPPA Service. If you register for or otherwise use the IAPPA Service, you shall be deemed to have confirmed your acceptance of the Terms and your agreement to be a party to this binding contract.
The terms applied in these Terms of Use shall have the following meaning:
You are responsible for maintaining the exactness and confidentiality of your Information, and you will bear sole responsibility for all activities that occur under your account, including activities of others to whom you have provided your Information. IAPPA shall not bear liability for any loss or damage arising from your failure to provide us with accurate information or keep your information secure. If you discover any unauthorised use of your Information or suspect that your information has been compromised illegally and without your authorisation, immediately change your password and notify our Customer Support team.
We may modify these Terms from time to time to reflect changes affecting our business, payment methods, technology, relevant laws, regulatory requirements and changes in our system. If we do so, we will notify you by email at your provided email address. However, we are not obliged to do so, and such modification shall be effective upon posting the revised Terms on our Website. You agree to be bound by any changes to these Terms when you use our Services after any such modification is posted on the Website. Therefore, you must review these Terms regularly to ensure you are updated on any changes.
IAPPA lets you register your company as an Access Point Provider and System Integrator. We trust that you have the authority to register the company and you are the rightful contact person of the company.
Your use of the IAPPA Platform must follow these Terms. Regarding your use of the platform you agree that you are responsible for your conduct and all conduct under your account. You agree to safeguard your password and keep your information current. In addition, you understand that all registrations are your sole responsibility..
You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute) incurred or suffered by us arising out of any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions.
Without prejudice to any other provisions in this agreement, if any documentation or information uploaded as part of the authorisation process is inaccurate or misleading, IAPPA reserves the right to immediately withdraw any approvals and access its services until such inaccuracy is rectified.
Everything you see on the IAPPA service, including the website and app, is protected by intellectual property laws. This includes things like copyrights, trademarks, patents, and design rights. We own all these rights unless otherwise stated. To be clear about what you can and can't do with this content:
You may unsubscribe from the Service by informing IAPPA of its decision to unsubscribe.
Your rights under this Agreement will automatically terminate unless you comply with any of its terms. In case of such termination, IAPPA may immediately revoke your access without a refund of any fees. IAPPA's failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of its rights.
IAPPA shall protect all data, facts and circumstances associated with the use of our platform and services. Your data are protected by the Nigeria Data Protection Act 2023 and all other applicable laws governing personal data protection. IAPPA shall only provide these data to fulfil the obligations deriving from invoicing and, in cases where required by the law, to the competent authorities upon their written request.
We engage certain third parties to provide technical or other services relating to all or part of the IAPPA Service, and you hereby agree that such involvement by these third parties is acceptable. In addition, we may contract with third-party payment processors to enable payment systems. Please see our Privacy Policy to understand the extent to which any third party may have access to your account information. We may occasionally include as part of our Services software supplied by third parties utilised by permission of the respective licensors and copyright holders on the terms provided by such parties. In connection with any modification of the IAPPA Service, we may automatically download software updates on your computers and devices periodically to improve, enhance, repair and further develop our Services. We will provide you with the option of whether or not to install the update; however, in certain circumstances (e.g., security risks), we may require you to install the update to continue accessing the IAPPA Service. In all cases, you agree we may deliver these updates to you (and you agree to receive them) as part of your use of our Service.
IAPPA is not directed to minors, and any use by minors should only be done with the guidance, supervision and consent of their parents, guardians and authorized school officials. Further, we rely on parents and guardians to ensure minors only use our Service if they understand their rights and responsibilities as stated in these Terms and our Privacy Policy. Consistent with applicable law, we do not knowingly collect personal information from minors without parental consent. If we learn that we have inadvertently obtained information violating applicable laws prohibiting information collection from children without such consent, we will promptly delete it.
